Participant Terms
These are the terms a person accepts at the Levitti step before a first purchase, a first listing or a payout on AssetShop; browsing, realms and free features ask for none of it. Members of an organization that has purchased EOS who sign in with their organization email to use that organization's EOS are covered by their organization's agreement instead. LEVITTI PARTICIPANT TERMS
Version 2026-10-10.1.
These Terms are a binding agreement between you ("Participant") and Web3 Ventures Enterprise, together with its affiliates and its platforms and products, including Levitti, AssetShop, EOS, Consus, CustomShop, Cozimos, Firmanos, Atlantica, Ikonix, Momentus and VideoChain ("Company"). You accept them electronically, and your electronic acceptance is your signature. You confirm you are at least 18 and, if you act for an organization, that you have authority to bind it.
1. Accounts, guests and identity. You may browse the platform and use its demonstrations without an account. Any metered or paid activity, including spending credit, buying credit, listing, licensing, publishing for sale, voting, messaging other participants and receiving payment, requires an account and your acceptance of these Terms; a guest receives no free allowance of any kind. Before your first listing, your first sale and any payment to you, you must complete identity verification: one check of a valid government ID document (such as a driver's license, passport or national ID card) through Company's verification provider. No selfie or facial comparison is required unless a program you join requires it and says so. Company may also require identity verification before a purchase where the law, a payment provider or Company's risk rules require it. You must give your full legal name, address, and an email address or phone number, and keep them true, complete and current. You consent to Company and its verification providers collecting and checking this information and retaining it as the law requires. Before any payment to you, Company may require further tax information (such as a taxpayer identification number and a tax form) and may withhold payment until you provide it. Company may refuse, suspend or end access if verification fails or information is false. Members of an organization that has purchased EOS who sign in with their organization email to use that organization's EOS are covered by their organization's agreement instead.
2. Company owns the platform. The platform and everything in it that is not your own content, including products, concepts, designs, software, data, text, media, names and marks, and all improvements, belong to Company. You receive only a limited, revocable, non-exclusive, non-transferable right to use the platform under these Terms. No ownership, equity, royalty, revenue share, license or other interest in any Company product, concept, program or business arises from your use, participation, feedback, registration of interest, or payment, unless Company grants it in a separate written agreement it has signed.
3. Your content and your sole responsibility for it. You keep ownership of content you create and post. By uploading, posting, listing or publishing content you publicly assert that you are its rightful owner or hold every right needed to grant the license below, that it infringes no one's rights and breaks no law, and that you bear full and sole liability for any claim that it does. Company may use automated and manual checks to help prevent infringement, but those checks do not shift any responsibility to Company. If anyone disputes your content or its ownership, you will deal directly with that party and with any court, registry, platform or authority involved, and you will keep Company, its affiliates and subsidiaries, and their owners, officers, employees and agents entirely out of the dispute, except that Company may disclose the information you provided to it (such as your identity, contact and payment details and the content's history) to the parties, the authorities or a tribunal to support a proper assignment and resolution of the dispute, and you consent to that disclosure. Company may remove or disable any content on notice of a claim, may require proof of rights before restoring it, and will end the accounts of repeat infringers; notices of claimed infringement go to founder@assetshopenterprise.com. You grant Company and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable and sublicensable license to host, store, reproduce, display, perform, distribute, format, adapt for the platform, market and promote your content on and for the platform and affiliated platforms, and to grant buyers the rights they purchase. The license is perpetual and irrevocable for content already sold, distributed or included in Company materials, and otherwise continues while the content is on the platform and for a reasonable period after. You will indemnify Company for any claim arising from your content, as Section 16 provides.
4. Creator sales, exclusivity and payouts. Content and creations you offer for sale, license or commission through the platform are salable only through AssetShop and affiliated platforms for their entire lifespan on the platform; you may use them outside the platform for purposes other than sale where that is relevant to you. You will not list, sell, license or commission the same creation elsewhere while it is listed here. Company pays creators ninety percent of the net attributable receipts of their creations: the amounts buyers actually paid for the creation, less payment-processing fees, taxes collected or payable on the sale, refunds, chargebacks and disputes, and the costs directly related to delivering that sale (such as hosting, bandwidth, model and storage costs the sale consumed), as Company calculates them under its published payout rules. Payouts are calculated and paid automatically once a calendar month for the previous month, to the payout account you verified, after identity verification and the tax forms the law requires, and above the minimum payout the rules state; amounts below the minimum carry forward. Company may hold a payout while a dispute, chargeback, verification question or legal demand is open, and may set off amounts you owe it. Credit on the platform is a prepaid, non-transferable, non-cash license to use features under their own terms; it is not money, earns no interest, and cannot be withdrawn or exchanged except through creator payouts under this Section.
5. Work on Company products. Anything you create for a Company product, concept or program, including commissioned designs, belongs to Company. Before doing such work you must sign the Supplier Agreement; to the extent you have not, you hereby assign all right, title and interest in that work to Company.
6. Feedback and ideas. You hereby assign to Company all rights in feedback, suggestions and ideas you provide, without compensation, and waive any claim relating to Company's use of them.
7. Confidential material. Material that is not public, including private doors, programs, supplier information, pricing and plans, is Company's confidential information. You will keep it confidential and use it only as the platform permits.
8. Supplier listings. Firmanos lists only suppliers who choose to be listed. Information listed suppliers publish there is provided for legitimate business contact among signed-in participants. You will not scrape, bulk-export, resell or misuse it, or use it to send unsolicited messages.
9. Generated and automated content. Where the platform generates text, images, summaries, analyses, recommendations or other output with automated systems, that output is provided as is for your information only, may be wrong or incomplete, and is not advice of any kind. You are responsible for checking it before you rely on it and for how you use it. Company does not guarantee that generated output is original or free of third-party rights.
10. What you must not do. You must not scrape, copy, reverse engineer, or circumvent any gate, verification, security or limit; impersonate anyone or give false information; share or sell your account; interfere with the platform; use it to harm, harass or deceive anyone; or use it unlawfully. You represent that you are not a sanctioned or restricted person.
11. Payments. Fees are final except where the law requires otherwise. Credits are a license to use features under their own terms. Company may set off amounts you owe it against amounts it owes you. You are responsible for your taxes, and Company may withhold amounts the law requires. Payment processing is carried out by Company's payment providers under their own terms; Company never holds your card details.
12. No investment offer. Nothing on the platform is an offer to sell, or a solicitation of an offer to buy, any security. Any Consus offering is made only through a registered intermediary under its filed offering statement. Registering interest is not binding and creates no obligation.
13. No advice, and no approvals implied. Nothing on the platform is medical, legal, tax or financial advice. Health-related programs are investigational; no product is approved by the FDA or any regulator unless the platform expressly says so.
14. Disclaimer. The platform and everything on it are provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, to the maximum extent the law allows. Company does not warrant that the platform will be uninterrupted, error-free or secure, or that content, listings, suppliers, participants or generated output are accurate, lawful or safe.
15. Limitation of liability. To the maximum extent the law allows, Company will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, and Company's total liability for all claims is limited to the greater of the amounts you paid Company in the 12 months before the claim or one hundred US dollars. These limits apply to every theory of liability and even if a remedy fails of its essential purpose.
16. Indemnity. You will defend, indemnify and hold harmless Company and its owners, officers, employees, affiliates, subsidiaries and agents from all claims, losses, liabilities, costs and attorneys' fees arising from your use of the platform, your content and creations, any sale, license, commission or delivery you take part in, your breach of these Terms, or your violation of any law or right. Company may control the defense at your expense.
17. Disputes. Any dispute will be resolved by binding individual arbitration under the rules of the American Arbitration Association, seated in Pennsylvania, except that either party may bring an individual claim in small claims court, and Company may seek injunctive relief in any court to protect its intellectual property or confidential information. You waive any right to a jury trial and to bring or join any class, collective or representative action. Any claim against Company must be brought within one year after it arises, or it is permanently barred.
18. Suspension and ending. Company may suspend or end your access at any time, for any reason, including failed verification. Sections 2 through 21 survive.
19. Changes and re-acceptance. Company may change these Terms. When they change, you will be asked to accept the current version again at your next purchase, listing or payout, and your identity verification is not repeated unless Section 1 requires it; continued use after notice of other changes is acceptance.
20. Governing law. Pennsylvania law governs, without regard to conflict-of-law rules. Matters not subject to arbitration belong exclusively in the state and federal courts located in Pennsylvania.
21. General. Company may assign these Terms; you may not. If any provision is unenforceable, it will be enforced to the maximum extent permitted and may be narrowed, and the rest remains in force. A failure to enforce is not a waiver. These Terms, together with any Supplier Agreement, payout rules or offering document you sign or that the platform publishes (which control on their subjects), are the entire agreement between you and Company on their subject.
